These Terms are binding as of the date you purchased. Of course, we are happy to clarify anything or answer any questions you may have.

These Terms are between you (“User,” “Client,” “you,” “your”) and (“Provider,” “we,” “us,” “our”) for the purpose of using Ophelia whether through the Provider’s website at www.CoachMJ.com
or any related domains or subdomains, video or audio platforms, telephone, or in person. The Provider and the User will collectively be referred to as “Parties,” and each individually as a “Party.”

By clicking “Add to Cart,” “Buy Now,” or any other phrase on the sales page, submitting a payment electronically or in-person, or subscribing through the Website, or otherwise purchasing Ophelia, you are agreeing to adhere to and be bound by the following terms and conditions together with the Terms of Use and our Privacy Policy, all of which are hereby incorporated by reference as the "Terms”.

Scope of Services. Ophelia will become accessible on the date indicated in the Welcome Email you will receive after the first payment is made. User understands, acknowledges, and agrees they are purchasing the Program as outlined on the sales page where these Terms of Use are located. Once purchased, User will have access to Ophelia for the duration outlined on the sales page. During this time, Provider will provide the products or services as detailed on the sales page, which is incorporated by reference herein.

• Modules: Should Provider include any modules or digital trainings: these Modules are intended to provide proprietary information created by Provider for the personal benefit of User. User agrees and understands that they are not to share, copy, distribute, or otherwise use (other than as expressly allowed) Ophelia.

• Access Schedule: User understands that access to Ophelia may be subject to scheduled updates, maintenance, or releases provided by Provider. Provider will make reasonable efforts to notify User of any downtime or changes in advance. Provider is not responsible for interruptions caused by technical issues.

Should Provider need to make changes, updates, or temporarily suspend access, Provider will provide as much notice as possible. User agrees that they are responsible for ensuring they can access Ophelia at their convenience and understands that technical interruptions do not entitle User to a refund.

• Community Access: User may also be granted access to a private group or forum organized by Provider as part of the Program. If granted access, User agrees to use common sense when posting or responding to others and agrees to refrain from posting any negative, offensive, or unnecessary comments.

User has carefully read the Program Outline on the sales page and acknowledges that they are aware of what is, and what is not included with Ophelia. User is aware that the sales page includes EVERYTHING included within the Program. If User expected additional information, products, services, or other content not listed there, they understand it may not be included. Provider is under no obligation to provide anything other than what is listed on the sales page, with the exception of updated or ever-changing Bonuses offered for limited periods of time. No edits or amendments may be made to this Program Outline without express written consent of both parties.

Payment + Billing. By providing us with your preferred payment method, you represent that you: (i) are authorized to use, and (ii) authorize us to charge that payment method (the “Authorized Payment Method”) for any fees related to your purchase of Ophelia, including without limitation, fees relating to any paid feature of the Website and/or subscription service of the Provider in which you have chosen to enroll (collectively, the “Fees”). If you are taking advantage of any limited-time trial-period offer and you do not cancel the service on or before the last day of the trial period, you are authorizing us to charge your payment method for the service. Unless otherwise indicated, all Fees are in US Dollars.

User’s Responsibilities. To get the most out of Ophelia, you understand and agree that:

Access to the Program requires a compatible device and internet connection. You should ensure you have the necessary technical requirements to use the Platform effectively.

Provider may assign tasks or exercises for the User to complete as part of the Program. Completing these tasks in advance will enhance your experience and understanding of Ophelia.

User agrees to adhere to all rules, guidelines, and instructions provided by Provider regarding use of the Program.

Provider’s Responsibilities. We are fully committed to supporting you through Ophelia. We promise to conduct ourselves professionally and ethically and provide the Program in accordance with the sales page description.

Communication Between Users + Provider. User agrees that any support requests should be sent to info@coachmj.com
and can expect a response within 24-48 hours, Monday through Friday. Users should not attempt to contact Provider via social media, messaging apps, or other platforms to expedite responses. Failure to follow this protocol may result in delayed support.

License for Use. By purchasing Ophelia through our Website, you are agreeing to these Terms, and in return, we are providing you with a limited, non-transferable, non-exclusive, revocable, personal-use license (“License”) to access and use Ophelia. Sharing, copying, reproducing, modifying, publishing, selling, or otherwise distributing Program Materials (the “Materials”), whether publicly or privately, is expressly prohibited. You may, however, copy or print instructional materials, information, and guides within the Materials for personal use, provided that all original formatting, copyright, and trademark notices remain intact. Your limited license allows you to access Ophelia and use any associated materials for yourself only.

Intellectual Property. We own and retain all rights, titles, and interests in and to Ophelia and the Program Materials. Nothing in these Terms transfers any intellectual property ownership beyond the limited license described above, and we reserve all rights not expressly granted to you.

Independent Contractor Status. Your use of Ophelia is as a User and does not create a formal employment, partnership, or business relationship with Provider.

Other Business Activities. You understand and agree that this is not an exclusive relationship, and Provider may offer services or digital products to other Users during the Term of this agreement.

Provider’s Warranties. By signing these Terms, we affirm that we have the right to enter into this agreement and are not violating any other contractual obligations.

Confidentiality. To maximize the benefit from using Ophelia, Users may share information that is confidential or proprietary in nature (collectively, the "Confidential Information"). Both the Provider and the User agree to:

Protect and safeguard the Confidential Information disclosed or otherwise made known to us.

Use the Confidential Information only in connection with Ophelia.

Refrain from using the Confidential Information in any way that would be detrimental to any User; and

Only disclose the Confidential Information to our employees or contractors on a need-to-know basis.

Both Parties understand and agree that the obligations under this provision survive termination of these Terms by either party.

Consent to Use. By submitting reviews, images, comments, testimonials, or tags (“Submissions”) to us on any platform including, but not limited to social media and online reviews, you are granting us a commercial license and voluntarily releasing us to use your Submissions for reasonable business use, including marketing, guides, and other platforms.

Non-Compete. For a period of 1 year after you purchase Ophelia or otherwise agree to these Terms, you understand and agree that you may not provide any services or offer products similar to Ophelia without prior written consent from the Provider.

Disclaimer. Ophelia is a digital tool designed to provide information, guidance, and support as described in the sales page. While Ophelia may help Users improve workflows or efficiency, under no circumstances will Provider provide medical, financial, legal, or other professional advice. Provider is not responsible for any damages that result from your use of Ophelia.

No Warranties + No Guarantees. Ophelia is provided on an “As-Is” basis for individual use by you at your own risk and without any warranties, whether express or implied, including, but not limited to, warranties of title, merchantability, or fitness for a particular use. Provider makes no warranty as to the accuracy and reliability of information set forth in Ophelia or associated Program Materials. Use of the Program does not guarantee specific results.

Return Policy. Due to the digital nature of Ophelia, we do not allow returns or refunds under any circumstances.

Subscriptions + Subscription Cancellations. When you purchase access to Ophelia on an ongoing subscription basis, you are authorizing Provider to process recurring Fees until the subscription is terminated and all outstanding Fees have been paid in full. You must maintain a valid Authorized Payment Method. Recurring payments are billed in advance at 30-day intervals. Provider reserves the right to suspend access until all Fees are paid. Outstanding Fees unpaid for 90 days may be referred to collections. Users have 30 days to notify Provider of any issues with recurring payments.

Chargebacks. By attempting a chargeback, you agree to pay the full cost of your original purchase plus any associated fees incurred by Provider. Provider may present these Terms to your financial institution or any investigating agency in the event of a dispute.

Promotions + Discounts. Provider may offer promotions, discounts, or bonuses (“Promotions”). Active Promotions at the time of purchase may be applied, but availability is not guaranteed. Provider reserves the right to change or alter Promotions at any time.

Age Limitations. You represent that you meet all legal age requirements to use the Website and purchase Ophelia.

Changing Terms. Provider reserves the right to update these Terms at any time without notice. Continued use of Ophelia after updates indicates acceptance of the changes.

Error in Presentation. Provider strives for accurate information but reserves the right to correct errors, update prices, specifications, processes, and Promotions at any time.

Termination of Use. Provider may terminate your account or restrict access to Ophelia at any time for any reason. You remain responsible for any charges or purchases made prior to termination.

Limitation of Liability. Provider is not liable for any damages, including punitive, exemplary, or resulting from negligence relating to these Terms, regardless of foreseeability.

Maximum Damages. Provider’s maximum liability and your sole remedy are limited to the actual amount paid by you for Ophelia.

Binding Arbitration. Any dispute that cannot be resolved amicably will be handled through binding arbitration under the rules of the American Arbitration Association in Broward County, Florida. If this venue is unavailable, Provider will select another venue. Costs will be shared equally.

Notices. Notices may be sent to the email address or mailing address provided by User. Email notices are effective upon sending; certified mail is effective upon receipt.

Severability + No Waiver. If any provision of these Terms is invalid or unenforceable, all other provisions remain in effect. Failure to enforce any right does not waive future enforcement unless done in writing.

Transfer + Assignment. User may not transfer or assign rights under these Terms without express written consent of Provider.

Force Majeure. Provider is not liable for delays or failures caused by events beyond reasonable control, including acts of God, natural disasters, cyber-attacks, terrorism, labor disputes, or power outages.

Headings for Convenience Only. Headings are included for convenience and reference and do not limit the scope of any provision.

Entire Agreement + All Rights Reserved. These Terms constitute the final agreement and supersede all others regarding the purchase, use, and access of Ophelia. Provider reserves all rights not expressly granted in these Terms.
